VoiceAI Subscription Terms

These VoiceAI Subscription Terms (“VoiceAI Terms”) form part of, and are supplementary to, the Host Terms of Use. Defined terms used in these VoiceAI Terms have the same meaning given to them in the Host Terms of Use unless otherwise defined below. In the event of any conflict between these VoiceAI Terms and the Host Terms of Use, these VoiceAI Terms prevail to the extent of the inconsistency in relation to the VoiceAI Service.

By enabling VoiceAI for a Property, the Host acknowledges that they have read, understood and agree to be bound by these VoiceAI Terms.

1. VoiceAI Service

1.1 KeyNinja provides an AI-powered voice answering service (“VoiceAI” or “VoiceAI Service”) that uses artificial intelligence to handle inbound telephone calls from guests on behalf of the Host in relation to a Property.

1.2 The VoiceAI Service includes:

(a) automated answering of guest telephone calls 24 hours a day, 7 days a week;
(b) handling of common guest enquiries including but not limited to check-in instructions, WiFi access, parking information and amenity questions, using property information provided by the Host;
(c) transfer of calls to the Host or their nominated contact when the AI determines that a human response is required;
(d) call recording, transcription and summary generation, made available to the Host via the KeyNinja Platform; and
(e) such other features as KeyNinja may introduce from time to time.

1.3 The VoiceAI Service is provided on a per-Property basis. The Host must separately enable and subscribe to the VoiceAI Service for each Property for which the Host wishes the VoiceAI Service to apply.

1.4 The VoiceAI Service is powered by artificial intelligence and may not respond to all guest enquiries with complete accuracy. KeyNinja does not warrant that the VoiceAI Service will be error-free, uninterrupted, or suitable for all guest interactions. The Host acknowledges that AI-generated responses are based on the property information provided by the Host and the AI’s interpretation of guest enquiries.

1.5 KeyNinja may update, modify or improve the VoiceAI Service from time to time without prior notice, provided such changes do not materially reduce the core functionality described in clause 1.2.

2. Subscription and Billing

2.1 The VoiceAI Service is provided as a monthly subscription at the per-Property rate published on the KeyNinja Platform at the time of enablement (“Subscription Fee”). The current Subscription Fee is A$90.00 per Property per month (inclusive of GST).

2.2 Where a Host enables the VoiceAI Service part-way through a billing cycle, the Subscription Fee for the initial period will be prorated on a daily basis for the number of days remaining in that billing cycle (“Prorated Amount”). The Prorated Amount will be charged on the day the Host enables the VoiceAI Service or at the end of that day.

2.3 Following the initial prorated period, the full Subscription Fee will be charged on the first day of each subsequent calendar month (“Billing Date”) for each Property on which VoiceAI is enabled.

2.4 All fees are charged in Australian Dollars (AUD) and are inclusive of GST. KeyNinja will issue a tax invoice for each payment, accessible via the Billing section of the KeyNinja Platform.

2.5 Payment will be processed using the payment method the Host has on file with KeyNinja. The Host is responsible for ensuring their payment method is current and valid. If a payment fails, KeyNinja may retry the payment and may suspend or disable the VoiceAI Service for the affected Property until payment is successfully processed.

2.6 KeyNinja may change the Subscription Fee at any time by giving the Host at least 30 days’ written notice via the KeyNinja Platform or by email to the Host’s registered email address. Continued use of the VoiceAI Service after the effective date of a fee change constitutes acceptance of the new Subscription Fee.

3. Free Trial

3.1 KeyNinja may, at its discretion, offer a free trial period for the VoiceAI Service (“Trial Period”). The duration and conditions of any Trial Period will be communicated to the Host at the time the trial is offered.

3.2 Unless the Host cancels the VoiceAI Service before the end of the Trial Period, the subscription will automatically convert to a paid subscription at the Subscription Fee, and the Host’s payment method will be charged the Subscription Fee on the next Billing Date.

3.3 KeyNinja reserves the right to limit, modify or discontinue any Trial Period offer at any time without prior notice. A Host may only use one Trial Period per Property.

4. Cancellation

4.1 The Host may cancel the VoiceAI Service for any Property at any time via the Property settings page on the KeyNinja Platform.

4.2 Upon cancellation:

(a) the VoiceAI Service will remain active for the Property until the end of the current billing cycle (“Cancellation Effective Date”);
(b) no further charges will be incurred for that Property after the Cancellation Effective Date;
(c) no refund or credit will be issued for any unused portion of the current billing cycle; and
(d) call transcripts and summaries generated during the subscription period will remain accessible to the Host via the KeyNinja Platform for a period of 90 days following the Cancellation Effective Date, after which they may be deleted.

4.3 The Host may re-enable the VoiceAI Service for a Property at any time, subject to these VoiceAI Terms and the then-current Subscription Fee.

5. Host Obligations

5.1 The Host is responsible for providing accurate, complete and up-to-date property information via the KeyNinja Platform, including but not limited to check-in instructions, access codes, WiFi credentials, parking information and amenity details. The quality and accuracy of the VoiceAI Service’s responses to guests depends on the information provided by the Host.

5.2 The Host must ensure that any telephone number associated with the VoiceAI Service is one for which the Host has the authority to receive forwarded calls and to record incoming calls.

5.3 The Host must not use the VoiceAI Service for any unlawful purpose or in any manner that could bring KeyNinja into disrepute.

6. Call recording, Transcription and Data

6.1 The Host acknowledges and consents to the recording and transcription of all incoming guest calls handled by the VoiceAI Service. Call recordings and transcriptions are stored securely and made available to the Host via the KeyNinja Platform.

6.2 The Host is responsible for ensuring compliance with all applicable laws regarding the recording of telephone calls in the relevant jurisdiction, including but not limited to any requirements to notify callers that calls may be recorded. KeyNinja will use reasonable efforts to include an automated notification at the commencement of each call handled by the VoiceAI Service informing the caller that the call may be recorded.

6.3 Call recordings, transcriptions and summaries are treated as personal information and handled in accordance with KeyNinja’s Privacy Policy.

6.4 KeyNinja may use anonymised and aggregated data derived from call interactions to improve the VoiceAI Service and other KeyNinja products. No personally identifiable information of guests or Hosts will be disclosed to third parties except as described in KeyNinja’s Privacy Policy.

6.5 Upon cancellation of the VoiceAI Service, call recordings and transcriptions will be retained for a period of 90 days as described in clause 4.2(d), after which they may be permanently deleted.

7. Intellectual Property

7.1 All intellectual property rights in the VoiceAI Service, including but not limited to the AI models, algorithms, voice synthesis technology, software and associated documentation, are and remain the property of KeyNinja or its licensors.

7.2 The Host retains ownership of all property information and content they provide to KeyNinja for use by the VoiceAI Service.

7.3 The Host grants KeyNinja a non-exclusive, royalty-free, worldwide licence to use, reproduce and process the property information provided by the Host for the purpose of delivering the VoiceAI Service and improving KeyNinja’s products.

8. Limitations of Liability

8.1 To the maximum extent permitted by law, KeyNinja excludes all liability for any loss or damage arising from or in connection with the use of the VoiceAI Service, including but not limited to:

(a) any inaccuracy, error or omission in AI-generated responses to guest enquiries;
(b) any failure to transfer a call to the Host or their nominated contact;
(c) any loss of business, revenue, goodwill or reputation arising from or related to the VoiceAI Service;
(d) any unavailability, interruption or degradation of the VoiceAI Service due to factors beyond KeyNinja’s reasonable control; and
(e) any claim by a guest or third party arising from or related to the AI-generated responses.

8.2 Nothing in these VoiceAI Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on the Host by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified by agreement.

8.3 To the extent that KeyNinja is unable to exclude its liability under clause 8.2, KeyNinja’s total aggregate liability to the Host arising from or in connection with the VoiceAI Service is limited to the total Subscription Fees paid by the Host for the VoiceAI Service in the 3 months immediately preceding the event giving rise to the claim.

9. Suspension and Termination

9.1 KeyNinja may suspend or terminate the VoiceAI Service for a Property immediately and without notice if:

(a) the Host breaches any provision of these VoiceAI Terms or the Host Terms of Use;
(b) payment for the Subscription Fee fails and is not remedied within 7 days;
(c) KeyNinja reasonably believes that the VoiceAI Service is being used in a manner that is unlawful, harmful or could adversely affect other users of the KeyNinja Platform; or
(d) KeyNinja is required to do so by law or by a regulatory authority.

9.2 KeyNinja may discontinue the VoiceAI Service entirely by giving Hosts at least 60 days’ written notice. In the event of discontinuation, KeyNinja will refund any prepaid Subscription Fees for the period after the discontinuation date on a pro-rata basis.

10. Modifications to these Terms

10.1 KeyNinja reserves the right to modify these VoiceAI Terms at any time. KeyNinja will provide the Host with at least 30 days’ notice of any material changes via the KeyNinja Platform or by email.

10.2 If the Host does not agree with the modified VoiceAI Terms, the Host may cancel the VoiceAI Service before the modified terms take effect. Continued use of the VoiceAI Service after the effective date of the modified terms constitutes acceptance of those terms.

11. General

11.1 These VoiceAI Terms are governed by the laws of the State of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria.

11.2 If any provision of these VoiceAI Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

11.3 A failure by KeyNinja to exercise or enforce any right or provision of these VoiceAI Terms does not constitute a waiver of such right or provision.

11.4 These VoiceAI Terms, together with the Host Terms of Use and the Privacy Policy, constitute the entire agreement between the Host and KeyNinja in relation to the VoiceAI Service.
